ITEM 8.01 Other Events

In accordance with the Agreement and Plan of Merger, dated as of October 22, 2016 (the "Merger Agreement"), among Time Warner Inc., a Delaware corporation ("Time Warner"), AT&T Inc., a Delaware corporation ("AT&T"), West Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of AT&T, and West Merger Sub II, LLC, a Delaware limited liability company and a wholly owned subsidiary of AT&T, to a letter dated October 20, 2017 between AT&T and Time Warner, each of AT&T and Time Warner has elected to extend the October 22, 2017 "Termination Date" of the Merger Agreement for a short period of time to facilitate obtaining final regulatory approval required to close the merger.

In addition, on October 18, 2017, AT&T issued the attached press release.
