Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 24, 2017, John N. Foy notified Atlantic Capital Bancshares, Inc. (the “Company”) that he was resigning from the Board of Directors of the Company effective immediately. Also on July 24, 2017, Brian D. Jones notified the Company that he was resigning from the Board of Directors of the Company effective immediately. Neither Mr. Foy’s nor Mr. Jones’ decision to resign was due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Both Mr. Foy and Mr. Jones resigned in order to pursue other professional and personal interests.

Each of the resignations creates a vacancy on the Board of Directors. The Governance and Nominating Committee, which is authorized to assist the Board of Directors in identifying and evaluating potential candidates for service on the Board of Directors and to recommend qualified individuals for nomination to the Board of Directors, is conducting a search for qualified candidates to fill the vacancies.
