On May 8, 2017, Atlantic Alliance Partnership Corp. (the Company)
issued a press release announcing that the Company had entered
into a definitive merger agreement, dated May 8, 2017, with Kalyx
Development Inc., a private real estate investment trust focused
on owning and operating commercial real estate facilities leased
to growers in the regulated U.S. cannabis industry (Kalyx) under
which, subject to certain closing conditions, Kalyx will merge
with and into AAPC. A copy of the press release is attached as
Exhibit 99.1 to this Current Report on Form 8-K.
Commencing after the filing of this Current Report on Form 8-K,
the Company intends to hold presentations for certain of its
shareholders, as well as other persons who might be interested in
purchasing the Companys securities, in connection with the
proposed business combination transaction Kaylx described in this
Current Report and its exhibits. A copy of the written materials
that the Company intends to use in connection with these
presentations is attached as Exhibit 99.1 to this Current Report
on Form 8-K.
