Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 20, 2018, Amy Abernethy notified athenahealth, Inc. (the “Company”) that, effective January 31, 2019, she intends to step down as a member of the Company’s Board of Directors (the “Board”) in order to pursue other opportunities, with the full support of the Company. Accordingly, Ms.Abernethy’s term of service as a Company director will end on January 31, 2019. Both Company Management and the Board thank Ms. Abernethy for her years of dedicated service as a director.
