Item 8.01 Other Events.

  

On December 5, 2016, Astoria Financial Corporation (the “Company”) issued the following clarification to its Proxy Statement, regarding attendance by board members at Board and Committee meetings (page 13 of 2016 Proxy Statement under the section titled Committees and Meetings of the Board).

The Board meets on a monthly basis and may have additional special meetings upon the request of the Chairman, the President, or one-third (1/3) of the directors then in office. During the fiscal year ended December 31, 2015, the Board met fourteen (14) times. No incumbent director attended less than seventy five percent (75%) of the total number of meetings held by the Board and its committees on which such director served, with the exception of Mr. Giambrone who was appointed to the Board on July 22, 2015. Mr. Giambrone attended one hundred percent (50%) of the total number of meetings of the Board and its committees on which he served from July 22, 2015 through December 31, 2015.
