ITEM 7.01 REGULATION FD DISCLOSURE.

On March 15, 2018, Ashford Hospitality Prime, Inc. (the “Company”) issued a press release announcing that its Board of Directors:

a) declared a common stock dividend for the first quarter ending March 31, 2018, of $0.16 per diluted share, payable April 16, 2018, for shareholders of record as of March 30, 2018; and

b) declared a dividend for the first quarter ending March 31, 2018, of $0.3438 per diluted share, for the Company’s 5.5% Series B Cumulative Convertible Preferred Stock. This dividend is payable April 16, 2018, for shareholders of record as of March 30, 2018.
