Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 12, 2018, Randy L. Pearce, a member of the Board of Directors (the “Board”) of Ascena Retail Group, Inc. (the “Company”) since 2005, notified the Company of his intention to retire from the Board with an effective date which is expected to be on or about October 4, 2018. Mr. Pearce is a member of the class of directors whose terms of office expire at the Company’s 2018 Annual Meeting of Stockholders. Mr. Pearce advised the Company that he has no disagreement with the Company on any matter relating to the Company’s operations, policies or practices and that the decision to retire was based solely on personal reasons.
