On June 6, 2019 Apollo Endosurgery, Inc. (the \”Company\”) held its 2019 Annual Meeting. As of April 16, 2019, the record date for the 2019 Annual Meeting, there were a total of 21,844,279 shares of common stock outstanding and entitled to vote. At the 2019 Annual Meeting, 21,331,056 shares of the Company\’s common stock, or approximately 97.65% of the voting power of shares outstanding as of the record date, were represented in person or by proxy, constituting a quorum. The following proposals were adopted at the 2019 Annual Meeting by the margin indicated. Proxies for the 2019 Annual Meeting were solicited to Section 14(a) of the Securities Exchange Act of 1934, as amended, and there was no solicitation in opposition of management’s solicitation.
(a) Proposal 1. To elect the three Class II nominees to the Board of Directors of the Company to hold office until the 2022 Annual Meeting of Stockholders and until their successors are duly elected and qualified, subject to their earlier resignation or removal.
(b) Proposal 2. The selection of KPMG LLP to act as our independent registered public accounting firm for the year ending December 31, 2019 was ratified based upon the following votes:
