Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.

On February27, 2017, the Board of Directors of Apollo Commercial
Real Estate Finance, Inc. (the Company) approved and adopted
amendments to the Apollo Commercial Real Estate Finance, Inc.
2009 Equity Incentive Plan (the Plan) to provide that: (1)grants
issued under the Plan must include a minimum vesting period of no
less than one year from the date of grant, other than as a result
of termination of service or in connection with a change in
control, dissolution, transfer of substantially all of the assets
of the Company or other similar transactions as set forth in the
Plan; and (2)repricing of options or stock appreciation rights
granted under the Plan will not be permitted without stockholder
approval.
