On December6, 2017, the Board of Directors (the “Board”) of Anthem, Inc. (the “Company”) elected Antonio F. Neri to serve as an independent director effective immediately with a term expiring at the Company’s 2018 annual meeting of shareholders. The Board also appointed Mr.Neri to the Audit Committee of the Board. There are no arrangements or understandings between Mr.Neri and any other person to which he was elected to the Board, and Mr.Neri has no direct or indirect material interest in any transaction required to be disclosed to Item404(a) of Regulation S-K of the Securities Exchange Act of 1934, as amended.
Mr.Neri will receive compensation for his services as a director in accordance with the Company’s standard compensation program for non-employee directors, which is filed as Exhibit 10.2 to the Company’s Quarterly Report on Form 10-Q for the quarter ended June30, 2017.

Item 5.02 Regulation FD Disclosure.
On December7, 2017, the Board increased the Company’s share repurchase authorization by $5 billion. As a result, the current total amount available for share repurchases is approximately $7.3 billion. The Company intends to utilize this authorization over a multi-year period, subject to market and industry conditions.
