OnApril 25, 2018, Amphenol Corporation (the “Company”) issued a press release setting forth the Company’s 2018firstquarter earnings. A copy of the press releaseis attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Item 9.01 Other Events.

On April25, 2018, the Company issued a press release announcing the approval of an increase in its quarterly dividend on its Common Stock from $0.19 to $0.23 per share, effective with dividends declared in the second quarter of 2018.The Company also announced that its Board of Directors authorized a new three-year open market stock repurchase plan (the “2018 Plan”) for the purchase of up to $2 billion of the Company’s common stock. As of March 31, 2018, the Company had repurchased approximately 12.6 million shares for $1.0 billion under the previously announced $1 billion stock repurchase plan (“2017 Plan”), thus completing the 2017 Plan.A copy of the press release announcing the approval of the dividend increase and the 2018 Plan is attached hereto as Exhibit99.1 and is incorporated by reference herein.
