ITEM 1.01

ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

License Agreement

On May 23, 2017, Ami James Brands, Inc.. (the Company) entered
into a License Agreement (the License Agreement) with Brand
Strategy Group, Inc. (the Licensor), a Wyoming corporation. to
the License Agreement, the Company acquired the exclusive
worldwide rights, for a period of 10 years, to various trademarks
(as more completely discussed below), which the Company intends
to utilize for the manufacture, distribution, sales and marketing
of various products within the health foods and snacks industry.
As consideration for the exclusive license granted under the
License Agreement, the Company shall pay a royalty paid to
Licensor of ten percent (10%) of all net sales of licensed
products.

herein by reference.
