Other Events.

On June15, 2017, American International Group, Inc. (AIG)
announced that it will redeem all of its outstanding 4.90%
Callable Notes Due July17, 2045 (ISIN No. XS1257785938) (the
Notes) on July17, 2017 (the Redemption Date). On the Redemption
Date, AIG will pay to the registered holders of the Notes a
redemption price equal to 50% of the principal amount of the
Notes, plus accrued and unpaid interest to, but not including,
the Redemption Date. As of June14, 2017, $290,000,000 aggregate
principal amount of the Notes were outstanding.

The information contained in this Current Report on Form 8-K does
not constitute a notice of redemption of the Notes. Holders of
the Notes should refer to the notice of redemption delivered to
the registered holders of the Notes by The Bank of New York
Mellon, the trustee with respect to the Notes.

A copy of the press release is attached as Exhibit 99.1 to this
Current Report on Form 8-K and is incorporated by reference
herein.
