Item 8.01. Other Events.

As previously disclosed, Tecogen Inc. (the “TGEN”) filed a registration statement on Form S-4, which contains a proxy statement of American DG Energy Inc., (the “Company’) and a prospectus of TGEN (the “Registration Statement”), with the Securities and Exchange Commission (the “SEC”). On April 12, 2017, the Registration Statement was declared effective by the SEC, and the Company announced that a special meeting of the Company’s stockholders (the “Special Meeting”) is scheduled to be held on May 18, 2017, at 1 p.m., Eastern Time, at the Company’s principal executive offices at 45 First Avenue, Waltham, Massachusetts 02451, to consider and vote on (1) a proposal to adopt the Agreement and Plan of Merger, dated as of November 1, 2016, as the same may be amended from time to time (the “Merger Agreement”), by and among the Company, TGEN, and TGEN.ADGE Acquisition Corp., a Delaware corporation formed for the purpose of effecting the merger, and a wholly-owned subsidiary of TGEN (the “Merger Sub”), to where Merger Sub will merge with and into the Company, or the Merger, with the Company continuing as the surviving entity (the “Merger”), approval of the transactions contemplated thereby, including the Merger, and (2) a proposal to approve the adjournment or postponement of the Special Meeting, if necessary or appropriate, to solicit additional proxies. Stockholders of record of the Company at the close of business on April 24, 2017, will be entitled to vote by proxy or in person at the Special Meeting. The proxy statement is expected to be mailed to stockholders of record on or about May 4, 2017.
Completion of the Merger is subject to certain conditions, including approval by the Company’s stockholders and other customary closing conditions.

American DG Energy Inc. distributes, owns and operates clean, onsite energy systems that produce electricity, hot water, heat and cooling. It offers natural gas-powered cogeneration systems.
