On June 13, 2017, American Assets Trust, Inc. (the Company) held
its Annual Meeting of Stockholders, in which the stockholders
voted on proposals as follows:
Proposal No. 1: The election of five directors, each to serve
until the next annual meeting of stockholders in 2018 and until
his successor is duly elected and qualified.

LLP as the Companys independent registered public accounting firm
for the year ending December 31, 2017.
