On September18, 2017, AMC Entertainment Holdings,Inc. (the “Company”) issued a press release announcing that it has entered into an agreement to sell 12.0 million shares of National CineMedia,Inc. common stock to Standard General, L.P. for approximately $73.1 million, representing a price of $6.09 per share. The sale is scheduled to be completed on September20, 2017. The Company will recognize a loss of approximately $17.4 million, including transaction costs, on the sale of these shares. A copy of the Company’s press release containing such announcement is attached as Exhibit99.1 to this Current Report on Form8-K.

AMC Entertainment Holdings, Inc. is a holding company. The Company, through its subsidiaries, including AMC Entertainment Inc. (AMCE), American Multi-Cinema, Inc.
