ITEM 8.01 Other Events

On February7, 2017, AMC Entertainment Holdings,Inc. (the
Company) entered into an Underwriting Agreement
(the Underwriting Agreement) with Citigroup
Global Markets Inc. and Merrill Lynch, Pierce, Fenner Smith
Incorporated, as representatives of the several underwriters
named in Schedule II thereto (the Underwriters)
relating to the public offering by the Company of 19,047,619
shares of its ClassA common stock (the Firm
Shares
). The offering price to the public of the Firm
Shares is $31.50 per share, and the Company agreed to pay the
Underwriters an underwriting commission of $1.1025 per share. to
the Underwriting Agreement, the Underwriters have a 30-day option
to purchase from the Company up to an additional 2,857,142 shares
of its ClassA common stock (the Option Shares
and together with the Firm Shares, the Shares)
at the public offering price less the underwriting commission.

The offering is being made to an automatically effective shelf
registration statement on FormS-3 (the Registration
Statement
) that the Company filed with the Securities
and Exchange Commission (the SEC) on December21,
2016 (File No.333-215233). A prospectus supplement relating to
the offering has been filed with the SEC. The closing of the
offering took place on February13, 2017.

A copy of the Underwriting Agreement is attached as Exhibit1.1
hereto and is incorporated herein by reference. The foregoing
description of the Underwriting Agreement does not purport to be
complete and is qualified in its entirety by reference to such
