Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

The Board of Directors of Amber Road, Inc. (“Board”) received notice from Kenneth Harvey that he intends to retire as a director of the Amber Road, Inc. Board and does not wish to stand for re-election at our 2018 Annual Meeting of Stockholders. Accordingly, Mr. Harvey will not be nominated by the Board for re-election and Mr. Harvey’s term as a director will end when his current term expires at our 2018 Annual Meeting.
