On May 18, 2017, Altria Group, Inc. (the Company) held its Annual
Meeting of Shareholders (the Annual Meeting). There were
1,724,939,679 shares of common stock of the Company represented
in person or by proxy at the meeting, constituting 89.11% of
outstanding shares on March 27, 2017, the record date for the
Annual Meeting. The matters voted upon at the Annual Meeting and
