Submission of Matters to a Vote of Security
Holders.

On May11, 2017, the Company held its annual meeting of
stockholders. At the meeting, stockholders took the following
actions:

elected ten directors for one-year terms ending at the 2018
annual meeting of stockholders (Proposal 1); and
ratified the appointment of PricewaterhouseCoopers LLP (PwC)
as the Companys independent registered public accounting firm
for 2017 (Proposal 2).
