Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 23, 2017, the ALLETE, Inc. ("ALLETE") Board of Directors (the "Board") elected Robert P. Powers to serve on the Board, effective immediately. Mr. Powers was also appointed to serve on the Executive Compensation Committee. Mr. Powers will receive compensation for his Board service consistent with the compensation received by ALLETE’s other non-employee directors, as disclosed in Exhibit 10(k)(3) to ALLETE's Form 10-K for the fiscal year ended December 31, 2016.

Mr. Powers recently retired as vice chairman of American Electric Power Company, Inc. ("AEP"). His career in the energy industry spans 41years through his retirement in August 2017. He most recently served as a senior adviser to AEP’s chairman and as chief operating officer, overseeing operations in areas including AEP’s utility subsidiaries, regulated generation, competitive businesses, and physical and cyber security.
