Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 9, 2019, citing the growing business relationship between her family companies and Alexander& Baldwin, Inc. (the “Company”) and the potential for concerns regarding independence and conflicts of interest, Jenai S. Wall notified the Chairman of the Board of Directors (the “Board”) of the Company of her decision not to stand for re-election to the Board after her current term expires at the 2019 Annual Meeting of Shareholders. Ms. Wall’s decision was not the result of any dispute or disagreement with the Company on any matter relating to the Company’s operations, policies or practices. A copy of Ms. Wall’s letter is filed herewith as Exhibit 99.1 and incorporated by reference herein.
