Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January31, 2018, Francis X. Egan resigned from the Board of Directors (the “Board”) of Airgain, Inc. (the “Company” or “Airgain”) and all committees of the Board on which he served, effective immediately. Mr.Egan’s decision to resign from the Board did not result from any disagreement with Airgain concerning any matter relating to its operations, policies or practices.
