Aetna Inc. (“Aetna”) and CVS Health Corporation (“CVS Health”) announced on December 3, 2017 that they have entered into a definitive merger agreement under which CVS Health will acquire all outstanding shares of Aetna for a combination of cash and stock. The transaction values Aetna at approximately $69 billion, or $207.94 per Aetna share, based on the closing price of CVS Health common stock on December 1, 2017. The transaction is expected to close in the second half of 2018.

Transaction Details

Under the terms of the agreement, which was unanimously approved by the board of directors of each company, Aetna shareholders will receive $145.00 in cash and 0.8378 shares of CVS Health common stock for each Aetna common share. Upon the closing of the transaction, Aetna’s shareholders would own approximately 22 percent of the combined company and CVS Health’s stockholders would own approximately 78 percent.

Upon the closing of the transaction, three of Aetna’s directors, including Aetna’s Chairman and Chief Executive Officer Mark T. Bertolini, will be added to the CVS Health Board of Directors. Aetna will operate as a stand-alone business unit within the CVS Health enterprise and is expected to be led by members of Aetna’s current management team. In addition, members of the Aetna management team are expected to play significant roles in the combined company.

The transaction is subject to customary closing conditions, including the approval by Aetna shareholders of the merger agreement, the approval by CVS Health stockholders of the issuance of shares in the transaction, as well as the expiration of the federal Hart-Scott-Rodino antitrust waiting period and approvals of state departments of insurance and other regulators.

Share Repurchase Program and Dividends

Prior to closing, Aetna’s ability to repurchase its shares will be extremely limited.

The proposed transaction does not impact Aetna’s ability and intent to continue quarterly dividend payments, including the cash dividend of $0.50 per share declared on December 3, 2017, payable on January 26, 2018, to shareholders of record at the close of business on January 11, 2018. Under the merger agreement Aetna has agreed that its quarterly dividend will not exceed $0.50 per share prior to closing. Declaration and payment of future dividends is at the discretion of Aetna’s board of directors and may be adjusted as business needs or market conditions change.
