Item 8.01 Other Events.

Completion of Secondary Public Offering

On May23, 2017, the Company issued a press release announcing the
completion of its offering (the Offering) of 17,825,000 shares of
common stock by certain of the Companys stockholders (the Selling
Stockholders) for cash consideration of $21.50 per share to a
syndicate of underwriters led by joint-book running managers UBS
Securities LLC, Deutsche Bank Securities Inc. and Morgan Stanley
Co. LLC. Macquarie Capital (USA) Inc. also acted as a joint
book-running manager. The Company is not selling any stock in
this transaction and will not receive any proceeds from the sale
of the shares by the Selling Stockholders. A copy of the press
release is furnished as Exhibit99.1 to this Current Report and is
incorporated by reference into this Item 8.01.

Underwriting Agreement

In connection with the Offering, on May17, 2017, the Company
entered into an underwriting agreement (the Underwriting
Agreement) with UBS Securities LLC, Deutsche Bank Securities Inc.
and Morgan Stanley Co. LLC, on behalf of themselves and the other
underwriters named therein. The Underwriting Agreement is
attached as Exhibit1.1 to this Current Report and is incorporated
by reference into this Item 8.01.
