On September 18, 2019, Adesto Technologies Corporation (“Adesto”) issued a press release announcing the pricing on September 18, 2019 of its offering of $70.0 million aggregate principal amount of 4.25% Convertible Senior Notes due 2024 (the “Notes”) in a private offering to qualified institutional buyers to Rule 144A promulgated under the Securities Act of 1933, as amended. Adesto also granted the initial purchasers of the Notes a 13-day option to purchase up to an additional $10.5 million principal amount of the Notes. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
