On July 3, 2018, director Bonnie R. Brooks informed Abercrombie & Fitch Co. (the "Company") that she had decided to resign from the Board of Directors (the "Board") of the Company for personal reasons. Ms. Brooks’ resignation was effective on July 3, 2018.

Item 8.01. Other Events.

On July 6, 2018, the Board set the number of directors at eight, to reflect the reduction in the number of directors serving on the Board from nine to eight following the resignation of Ms. Brooks.
