Entry into a Material Definitive Agreement

On March16, 2017, CJ Energy Services, Inc. (the Company) entered
into an amendment to the Revolving Credit and Security Agreement
(the ABL Facility), dated January6, 2017, among the Company, the
subsidiaries of the Company party thereto as borrowers, the
lenders party thereto and PNC Bank National Association, as
administrative agent (the Amendment). Among other things, the
Amendment modifies the ABL Facility by increasing the amount of
growth capital expenditures which the Company will be permitted
to make during its 2017 fiscal year from $25.0 million to $60.0
million.
