repaid in full its convertible senior notes (the Convertible
Notes). The Convertible Notes, with an aggregate principal amount
of $25,000,000, were convertible into shares of the Companys
common stock, par value $0.0001 per share (the Common Stock), at
a conversion price of $7.10 per share. In connection with the
repayment, the Company issued to the holders of the Convertible
Notes an aggregate of 3,175,584 shares of Common Stock and cash
in the aggregate amount of $5,988,889, including all remaining
interest payments through the optional conversion date of June
30, 2017.
