On December 13, 2016, National Holdings Corporation (the Company)
issued a press release regarding the Companys previously
announced distribution as a dividend of warrants to purchase
shares of the Companys common stock, which distribution was
contemplated by that certain Agreement and Plan of Merger dated
as of April 27, 2016 by and among the Company, Fortress Biotech,
Inc. and FBIO Acquisition, Inc. A copy of the press release is
attached hereto as Exhibit 99.1 and is incorporated herein by
reference.
