On August11, 2017, ACI Worldwide, Inc. (the “Company”) filed a Restated Certificate of Incorporation with the Secretary of State of the State of Delaware, which had the effect of restating the information regarding the Company’s registered office and registered agent in Article II of the Company’s 2014 Amended and Restated Certificate of Incorporation. The Restated Certificate of Incorporation only restated and integrated, but did not further amend, the provisions of the 2014 Amended and Restated Certificate of Incorporation.
