On March 31, 2017, the record date for the 2017 Annual Meeting,
8,121,836 shares of the Company’s common stock were outstanding
and entitled to one vote per share upon all matters submitted at
the 2017 Annual Meeting. The matters voted on at the 2017 Annual
Meeting and the voting results for each matter are set forth
