On February12, 2019, the Company entered into a Terms Agreement with Merrill Lynch, Pierce, Fenner& Smith Incorporated, Morgan Stanley& Co. LLC and Wells Fargo Securities, LLC, as representatives of the several purchasers named therein, relating to the sale of $450,000,000 aggregate principal amount of the Company’s 2.750% Notes due 2022, $500,000,000 aggregate principal amount of the Company’s 3.250% Notes due 2024 (reopening), $800,000,000 aggregate principal amount of the Company’s 3.375% Notes due 2029 and $500,000,000 aggregate principal amount of the Company’s 4.000% Notes due 2048 (reopening), issued off of the Company’s Medium-Term Note Program, SeriesF.
