Item 7.01. Regulation FD Disclosure.

On May 17, 2018, ZAIS Group Holdings, Inc. (the “Company”) issued a press release (the “Press Release”) announcing that, at its annual meeting of stockholders held on May 17, 2018, the stockholders of the Company voted to adopt the Agreement and Plan of Merger (the “Merger Agreement”), dated as of January 11, 2018, by and among the Company, ZGH Merger Sub, Inc., a wholly-owned subsidiary of the Company (“Merger Sub”), and Z Acquisition LLC, a Delaware limited liability company of which Christian Zugel, the Company’s Chairman and Chief Investment Officer, is the sole managing member. to the Merger Agreement, Merger Sub will be merged with and into the Company, with the Company surviving the merger. A full text of the Press Release, which is attached hereto as Exhibit 99.1, is incorporated herein by reference.
