On April 3, 2017, Yelp Inc. (the Company) and 10036773 Canada
Inc., a wholly-owned subsidiary of the Company (Yelp Canada),
entered into a Share Purchase Agreement (the Purchase Agreement)
with Turn>

The purchase price will be paid to Turn>

The foregoing description of the Purchase Agreement is qualified
in its entirety by reference to the full text of the Purchase
Agreement, a copy of which is filed herewith as Exhibit 2.1
hereto and is incorporated herein by reference.
