Item 1.01 Entry into a Material Definitive Agreement

On May 5, 2017, Wilhelmina International, Inc. (the Company)
executed a Seventh Amendment to Credit Agreement (the Seventh
Amendment) with ZB, N.A. dba Amegy Bank dated to be effective May
4, 2017. The Seventh Amendment temporarily reduces the Companys
fixed charge coverage ratio through December 31, 2017.

in its entirety by reference to the definitive agreement filed as
an exhibit to this Current Report on Form 8-K and incorporated
herein by this reference.
