On October 6, 2017, Wal-Mart Stores, Inc., a Delaware corporation (the "Company"), issued a press release (the "Press Release") announcing the commencement of a cash tender offer (the "Tender Offer") for its outstanding 6.500% Notes due 2037, 6.200% Notes due 2038, 5.625% Notes due 2040, 5.625% Notes due 2041, 5.25% Notes due 2035, 5.000% Notes due 2040, 4.875% Notes due 2040, 4.750% Notes due 2043, 4.30% Notes due 2044, 4.00% Notes due 2043, 5.875% Notes due 2027, 4.125% Notes due 2019, and 3.625% Notes due 2020 (the "Securities"). to the Tender Offer, the Company will pay total consideration (excluding accrued interest payable) of up to $8.5 billion for the Securities purchased in the Tender Offer. The Tender Offer will expire at 11:59 p.m., New York City time, on November 3, 2017, unless extended or earlier terminated.
