On April27, 2018, Vitamin Shoppe, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) with the Securities and Exchange Commission reporting that the Company’s Board of Directors (the “Board”) had appointed Mr.MelvinL. Keating, Mr.HimanshuH. Shah and Mr.Sing Wang as directors effective April24, 2018. At the time of the filing of the Original 8-K, Board committee assignments for Messrs. Keating, Shah and Wang had not yet been determined.
Effective June 28, 2018, Mr. Keating and Mr. Wang each became a member of the Audit Committee and Mr. Shah became a member of the Nomination and Governance Committee.
