On January 29, 2019, Versum Materials, Inc. (the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”). There were present at the meeting, either in person or by proxy, holders of 101,008,364 shares of common stock which is 92.57% of the shares of stock entitled to vote at the meeting and which constituted a quorum.
