On December 19, 2016, Donald T. Nicolaisen, a member of the Board of Directors (the Board) of Verizon Communications Inc. (the Company), informed the Company that he is resigning from the Board, effective December 31, 2016. Mr. Nicolaisen’s decision to resign is not the result of any disagreement with the Company.
