| Entry into a Material Definitive Agreement |
On May18, 2017, Verisk Analytics, Inc. (the Company) entered into
the Third Amendment (the Third Amendment) to the Second Amended
and Restated Credit Agreement dated April22, 2015 among the
Company and the lenders and agents party thereto. The Third
Amendment provides for (i)a one-year extension of the maturity
date in respect of the revolving credit facility, (ii)certain
modifications to the definition of the consolidated funded debt
leverage ratio, and (iii)permitted increases to the consolidated
funded debt leverage ratio to 4.00x during the four-quarter
leverage increase period at the Companys election following a
permitted acquisition. All borrowings under the credit facility
shall continue to remain unsecured.
The foregoing description of the Third Amendment is qualified in
its entirety by reference to the Third Amendment, which is
annexed as Exhibit 10.1 and is incorporated by reference in its
entirety.
