Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officer.

On March 29, 2019, Scott Requadt tendered his resignation from the Board of Directors, and all Board committees, of VBI Vaccines Inc. (the “Company”), effective March 31, 2019. The resignation of Mr. Requadt was not in connection with any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
