Item5.07 Submission of Matters to a Vote of Security Holders.

At the Annual Meeting of Stockholders of Varonis Systems, Inc.
(the Company) held on May 5, 2017, there were present, in person
or by proxy, 24,744,880 shares of the Companys common stock,
which represented approximately 91.24% of the shares entitled to
vote and constituted a quorum.

Set forth below are the voting results of the two proposals
considered and voted upon at the Annual Meeting, all of which
were described in the Companys Definitive Proxy, filed with the
Securities and Exchange Commission on March 24, 2017.

PROPOSAL NO. 1 To elect the three
nominees for director named below to the Board of Directors to
hold office until the 2020 Annual Meeting of Stockholders

PROPOSAL NO. 2 To ratify the appointment
by the Audit Committee of the Board of Directors of Kost Forer
Gabbay Kasierer, a member of Ernst Young Global Limited, as the
independent registered public accounting firm of the Company for
the fiscal year ending December31, 2017
