Universal Corporation (the “Company”) issued a press release on August3, 2017, discussing its results for the quarter ended June30, 2017. The press release is attached as Exhibit 99.1 and is incorporated by reference into this Item 2.02.

On August3, 2017, the Board of Directors appointed Eddie N. Moore, Jr. to serve as the Lead Independent Director, effective August3, 2017, to serve until the next annual meeting of the Board of Directors to be held in August, 2018.

On August3, 2017, the Company issued a press release announcing a quarterly dividend for the Company’s common stock. The press release is attached as Exhibit 99.2 and is incorporated by reference into this Item 8.01.

The Company is engaged in procuring, financing, processing, packing, storing and shipping leaf tobacco for sale to manufacturers of consumer tobacco products.
