Press Release
Ultra Petroleum Corp. announced today that, on April 26, 2017, it
filed a shelf registration statement with the Securities and
Exchange Commission with respect to possible secondary sales of
the companys common stock by the selling shareholders named in
the shelf registration statement. The press release is attached
hereto as Exhibit 99.1 to this Current Report on Form 8-K. Please
see Item 9.01 below and the attached exhibit.
Ultra Petroleum is not selling any of its common stock and will
not receive any proceeds from the offer and sale of any of the
common stock registered under the shelf registration statement.
The shelf registration statement was filed to satisfy the
companys obligations under the companys registration rights
agreement entered into on April 12, 2017 with the selling
shareholders in connection with our emergence from chapter 11 on
that date.
The information included in this Current Report on Form 8-K under
Item 7.01 and Exhibit 99.1 is being furnished and shall not be
