Item 5.07. Submission of Matters to a Vote of Security Holders.
On January30, 2019, Twilio Inc., a Delaware corporation (“Twilio”) held a special meeting of its stockholders (the “Special Meeting”). Twilio’s stockholders voted on two proposals at the Special Meeting, each of which is described in more detail in the definitive joint proxy statement/prospectus filed by Twilio and SendGrid,Inc., a Delaware corporation (“SendGrid”) with the Securities and Exchange Commission on December18, 2018.
Holders of Twilio’s ClassA Common Stock were entitled to one vote for each share held as of the close of business on December13, 2018 (the “Record Date”) and holders of Twilio’s ClassB Common Stock were entitled to ten votes for each share held as of the close of business on the Record Date. The Class A Common Stock and the Class B Common Stock voted as a single class on all matters. At the close of business on the Record Date, there were 80,667,248 shares of Twilio ClassA common stock and 19,349,115 shares of Twilio ClassB common stock eligible to vote at the Special Meeting. Present at the meeting in person or by proxy were holders of 67,135,219 shares of ClassA and ClassB stock, together representing 202,698,718 votes, or approximately 74% of the eligible votes as of the Record Date, and constituting a quorum. The final results with respect to each such proposal are set forth below.
Proposal 1 – To approve the issuance of ClassA common stock, par value $0.001 per share, of Twilio to stockholders of SendGrid, as contemplated by the Agreement and Plan of Merger and Reorganization, dated as of October15, 2018, as amended on December13, 2018 and as may be amended from time to time, by and among Twilio, SendGrid, and Topaz Merger Subsidiary,Inc., a Delaware corporation and wholly owned subsidiary of Twilio (the “Stock Issuance Proposal”):

Although the Adjournment Proposal was approved, adjournment of the Special Meeting was not necessary because Twilio’s stockholders approved the Stock Issuance Proposal.
