On June13, 2018, Twenty-First Century Fox, Inc. (the “Company”) issued a press release confirming that on June13, 2018, the Company received an unsolicited, written proposal from Comcast Corporation to acquire the same businesses that the Company previously agreed to sell to The Walt Disney Company. A copy of the press release is filed as Exhibit 99.1 and is incorporated herein by reference.

In connection with the proposed transaction between The Walt Disney Company (“Disney”) and Twenty-First Century Fox, Inc.
