Item 1.01 Entry into a Material Definitive Agreement.

On March 29, 2017, TSR, Inc. (the Company) and Christopher
Hughes, Senior Vice President of the Company and President of the
Companys wholly-owned subsidiary, TSR Consulting Services, Inc.,
entered into an amendment to Mr. Hughes Employment Agreement with
the Company, dated as of March 1, 2012, to extend the term
thereof from March 31, 2017 to April 30, 2017. The Employment
Agreement had previously been amended to extend the term from
February 28, 2017 to March 31, 2017. A copy of the amendment is
attached as Exhibit 10.1.
