ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On February 22, 2017, Toll Brothers, Inc. (the “Company”) issued
a press release which contained Toll Brothers, Inc.s results of
operations for its three-month period ended January 31, 2017, a
copy of which release is attached hereto as Exhibit 99.1 to this
report.

ITEM 8.01. OTHER EVENTS
On February 21, 2017, the Company issued a press release announcing
its Board of Directors has approved the initiation of a cash
dividend to shareholders. The first quarterly dividend of $0.08 per
share will be paid on April 28, 2017 to shareholders of record on
the close of business on April 14, 2017. A copy of the release is
attached hereto as Exhibit 99.2 to this report.
