(the “Company”) issued a press release recommending that its stockholders do not tender their shares in response to an unsolicited mini-tender offer by TRC Capital Corporation to purchase up to 3,000,000 shares of common stock of the Company, par value $0.01 per share (“Company Common Stock”), representing approximately 2.06% of the outstanding shares of Company Common Stock. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
